Terms of Service

Last updated: October 7, 2026

Please read these Terms of Service ("Terms") carefully before using ValuScribe NYC (the "Service"). The Service is operated by ValuScribe LLC, a New York limited liability company. References in these Terms to "ValuScribe NYC," "we," "us," or "our" mean ValuScribe LLC. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. AI-Assisted Content Disclaimer

The Service uses artificial intelligence (AI) and large language models to assist in drafting narrative content, summaries, and other report material. AI is a drafting aid only. All AI-assisted content is reviewed, verified, and adopted by a licensed appraiser of record before it is delivered, relied upon, or included in any final report.

AI outputs, standing alone, do not constitute an appraisal, an opinion of value, or legal, financial, tax, or professional advice of any kind. AI-generated content may contain factual inaccuracies, outdated information, or unsupported statements, and it has no professional significance unless and until a licensed appraiser independently reviews, verifies, and adopts it as their own work product.

Using AI-assisted drafting does not relieve any appraiser of their professional obligations under the Uniform Standards of Professional Appraisal Practice (USPAP) or applicable state appraisal laws and regulations.

2. Fees, Credits, and Refunds

The Service is sold as prepaid credits at the prices posted on our Pricing page, in US dollars and inclusive of applicable sales tax. A report credit is spent when a report is created and includes a fixed number of exports of that report; extra export credits fund additional exports. Credits are held by your organization, have no cash value, and may be used only within the Service. Payments are processed by Stripe, and you authorize us to charge your selected payment method for each purchase you make.

All sales are final. Credits are non-refundable except to correct billing errors, as described in our Refund Policy, which is part of these Terms. We may change prices prospectively; a price change does not affect credits already purchased.

3. User Content

You retain all ownership rights in the content you upload to or create with the Service — including documents, rent rolls, income and expense statements, photographs, financial data, and other property and transaction materials ("User Content").

You grant ValuScribe NYC a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely for the purpose of operating, providing, maintaining, and improving the Service and delivering the features you request — including transmitting User Content to third-party service providers (such as our AI provider) to the extent necessary to generate the output you request. This license exists only to enable us to provide the Service to you and ends when your User Content is deleted from the Service, subject to standard backup and legal-retention practices.

You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to upload your User Content and to grant the license described above, and that your User Content and its use by the Service do not and will not infringe or violate the rights of any third party or any applicable law.

4. DMCA Policy

ValuScribe NYC respects the intellectual property rights of others and expects its users to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (the "DMCA").

Takedown notices. If you believe that content available through the Service infringes your copyright, you may submit a written notice to our designated agent that includes: (a) a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it; (d) your contact information (address, telephone number, and email address); (e) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.

Designated agent. Notices of alleged infringement should be sent to our designated agent:

Copyright Agent, ValuScribe LLC
Email: admin@valuscribe.com

Counter-notices. If you believe that material you posted was removed or disabled by mistake or misidentification, you may submit a written counter-notice to our designated agent that includes: (a) your physical or electronic signature; (b) identification of the material that was removed or disabled and the location at which it appeared before it was removed or disabled; (c) a statement, under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; and (d) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, for any judicial district in which the Service may be found) and that you will accept service of process from the person who provided the original takedown notice or an agent of that person. Upon receipt of a valid counter-notice, we may restore the removed material as permitted by the DMCA.

Repeat infringers. In appropriate circumstances and at our discretion, we will terminate the accounts of users who are determined to be repeat infringers of the intellectual property rights of others.

5. Indemnification

You agree to indemnify, defend, and hold harmless ValuScribe NYC, its operator, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) the User Content you upload to or create with the Service, including any claim that such content infringes or violates the rights of a third party or any applicable law; (b) your use or misuse of any output generated by the Service, including any reliance on AI-assisted content that has not been independently reviewed, verified, and adopted by a licensed appraiser; (c) your access to or use of the Service; (d) your violation of these Terms; or (e) your violation of any applicable law or regulation or the rights of any third party.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the total aggregate liability of ValuScribe NYC and its operator, officers, directors, employees, agents, licensors, and service providers for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, in no event shall ValuScribe NYC or its operator be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including, without limitation, lost profits, lost business, loss of data, or loss of goodwill — arising out of or relating to these Terms or the Service, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.

The Service is provided "as is" and "as available," without warranty of any kind, express or implied. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

7. Dispute Resolution — Binding Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be seated in New York, New York, and shall be governed by the laws of the State of New York. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

Class action waiver. You and ValuScribe NYC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

30-day right to opt out. You may opt out of this binding-arbitration and class-action-waiver provision by sending written notice of your decision to opt out within thirty (30) days after you first accept these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration, and must be delivered by email to admin@valuscribe.com. If you opt out within this period, neither you nor ValuScribe NYC will be required to arbitrate disputes, and disputes will instead be resolved in court as described in the Governing Law section (Section 8). Opting out of arbitration does not affect any other provision of these Terms.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Subject to the binding-arbitration provision above, any dispute arising out of or relating to these Terms or the Service that is not subject to arbitration shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction and venue in those courts.

9. Changes to These Terms

We may update these Terms from time to time. Each version is identified by its “Last updated” date. If we make material changes, you will be asked to review and accept the updated Terms the next time you sign in before continuing to use the Service.

10. Contact
